Hi,

I was wondering if someone could help. I am in my last year of my trust deed. My boyfriend is looking at starting up his own online business but needs a company secretary to do this.
Would I be able to be his company secretary even though I wouldn't be getting paid for this?

many thanks

Welcome to the forum jdoey77.

I don't think that there is an issue with this, but best to wait for Mark, Kevin or Shona to agree or state otherwise.

Hi jdoey77

Yes, no probs in acting as Co Secretary, however any increase in income would be looked at.

Hi jdoey77

As Mark & TDA say, there is no problem with being the Secretary, and if you are not being paid, it is of no interest to your Trustee. Just make sure that the Memorandum & Articles of Association that are being drawn up for the limited company, do not state that the Sectretary cannot be insolvent- Not really a problem as your boyfriend can decide what it says as he is the Director, but solicitor may use a standard form.

Shona is not currently posting in the Trust-Deed.co.uk forum.
